Terms of service — Members

These Terms of Service ("Terms") govern your use of the frndly app as a Member. By creating an account, you agree to these Terms.

Eligibility

You must be at least 18 years old to create a frndly account. By creating an account, you confirm that you meet this age requirement and are able to enter into a binding agreement.

Your account

You are responsible for maintaining the accuracy of your account information and for any activity that occurs under your account. Your Circle is private to you; you control who you Invite.

Vouches, Rewards, and taps

When you Vouch for a Spot and Pass it on to a friend, that friend may claim the Vouch as a Redeemer. Rewards are only issued once a visit has been confirmed via an in-person tap of the frndly NFC chip at the Spot. NFC tap confirmation is currently the only method of verifying a visit — there is no manual or alternate fallback for redemption. Rewards have no cash value unless explicitly stated by the issuing business and cannot be exchanged for cash.

Poster Rewards

Poster Rewards (rewards to the person who Vouched) are currently funded by frndly. Frndly may change, limit, or discontinue Poster Rewards at its discretion, with reasonable notice where practical.

Redeemer Rewards

Redeemer Rewards (rewards to the friend who taps to confirm) are set entirely by the individual business and vary by Spot. Frndly is not responsible for a business's choice of reward or for a business's failure to honour a reward it has configured.

Prohibited conduct

You agree not to misuse the Services, including attempting to falsify a visit, circumvent NFC tap verification, or use the Services for any unlawful purpose.

Termination

Frndly may suspend or terminate your account for violation of these Terms. You may delete your account at any time by contacting us.

Limitation of liability

The Services are provided "as is." Frndly is not liable for the quality, safety, or conduct of any Spot or business listed on the platform, or for any dispute between a Member and a business.

Governing law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.

Terms of service — Business

These Terms of Service ("Terms") govern participation in frndly as a business ("you," "your business"). By completing self-onboarding through the Business Hub, you agree to these Terms.

Eligibility and onboarding

You must be authorized to act on behalf of the business you are onboarding. Onboarding is self-serve through the Business Hub. At signup, you will select a business category (currently Food or Care; Fitness coming soon). Category selection locks after onboarding and cannot be changed without contacting frndly directly.

Fees

You agree to pay a flat fee per verified NFC tap at your Spot. There is no subscription fee and no commission on sales. Fees are billed and processed through Stripe. You are responsible for maintaining valid payment information with Stripe.

The NFC chip

Upon onboarding, frndly will provide your business with a frndly-branded NFC chip for your counter. No POS integration is required or supported. If your chip is lost, damaged, or malfunctioning, you may request a replacement through your Business Hub panel.

Setting Redeemer Rewards

You control what Redeemer Rewards are offered at your Spot. You are solely responsible for honouring any reward you configure. Frndly is not responsible for disputes arising from a reward you have set.

Not a discount platform

Vouches and Rewards on frndly are not coupons, discount codes, or cashback. You agree not to represent your participation in frndly as a discount or coupon program in your own marketing.

No guarantee of results

Frndly does not guarantee any specific number of Vouches, visits, or verified taps. Verified tap volume depends on organic Member activity within their Circles.

Termination

Either party may terminate this agreement at any time. Frndly may suspend a business's participation for violation of these Terms, including misuse of the NFC verification system or misrepresentation of the platform to customers.

Limitation of liability

The Services are provided "as is." Frndly is not liable for lost revenue, lost business, or any indirect damages arising from use of the Services.

Privacy policy

This Privacy Policy explains how Frndly ("frndly," "we," "us") collects, uses, and protects personal information when you use the frndly app, the frndly Business Hub, or frndly.ca (together, the "Services"). Frndly is a Canadian company and this policy is intended to comply with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable Alberta provincial privacy legislation.

Information we collect

When you create a member account, we collect information such as your name, email address, and phone number. When you Vouch for a Spot, Pass on a Vouch, or tap to confirm a visit, we collect information about that activity, including which Spot was visited and the time of the confirmed tap.

When a business signs up for the Business Hub, we collect business information including business name, category, contact details, and configuration of Redeemer Rewards.

We do not collect or store payment card numbers or bank account details directly. Financial information, including bank details and credit card information, is collected and processed by our third-party payment processor, Stripe, under Stripe's own privacy and security terms. Frndly does not have access to full card or bank account numbers.

NFC tap verification

Please see the "NFC & verification data" section below for details on what is collected when you tap the frndly chip. In short: tap verification confirms physical presence at the time of the tap only. We do not track continuous or ongoing location.

How we use information

We use the information we collect to operate the Services, including verifying Vouches and Rewards, processing payments through Stripe, communicating with you about your account, and improving the platform. We do not sell personal information to third parties.

Where information is stored

Member, business, and platform data is stored using Supabase, our database infrastructure provider. Financial information is stored and processed exclusively by Stripe, not by Supabase or frndly directly.

Data retention

We retain personal information for as long as your account is active, or as needed to comply with legal obligations, resolve disputes, and enforce our agreements.

Your rights

You may request access to, correction of, or deletion of your personal information by contacting us using the details on our Contact page. We will respond to reasonable requests in accordance with applicable Canadian privacy law.

Children's privacy

The Services are not directed at individuals under the age of 18. We do not knowingly collect personal information from anyone under 18.

Changes to this policy

We may update this Privacy Policy from time to time. Material changes will be reflected with an updated "Last updated" date above.

NFC & verification data

This section outlines what is collected at tap and how it's used in plain language.

When a Redeemer taps the frndly NFC chip in a Spot, the platform securely verifies the physical presence to validate the Vouch. This verification data is used exclusively to unlock Rewards and confirm the recommendation cycle. We do not track continuous location.
